Adi provides legal consultation and support for companies and entities in the fields of corporate law and mergers and acquisitions (“M&A”). Adi has special proficiency in the field of cannabis, and she is advising companies at all stages of the production chain and supply processes for cannabis. As a partner in the firm who heads the Cannabis Desk, Adi provides a wide framework for all legal needs, including licenses and regulatory compliance, corporate matters, commercial agreements, investment agreements, M&A transactions, cooperation agreements, and strategic partnership agreements.
Adi works with local and global clients, advising them with internal and external corporate and commercial transactions, including the corporate structures and negotiation stages, strategic collaborations between commercial corporations, joint ventures, and other commercial aspects, including distribution, production, marketing, consulting, and service agreements.
Adi is also involved in strategy and decision-making processes, both at the organizational level and at the commercial level, with the corporations she is advising.
Before, Adi experienced representing public companies and reporting corporates in all matters of the capital market and transactions, among others, in annual and immediate reports, public offers, private offers and tender offers, shareholders disputes as well as in corporate law and securities law.
Adi lectures at various Universities in Israel, on Law, curt ruling, and regulation in the Cannabis field on behalf of the Ministry of Health, as part of bachelor’s degree programs in pharmacy, master’s degree in clinical pharmacy, for nurses and doctors, as well as giving lectures at various conventions and events in the field of Cannabis, law, and business.
For 8 years, Adi worked in the Tax department at Ernst & Young – Kost Forer Gabbay & Kasierer (2006-2014), and within this framework she managed at the field of employee benefits, including the following topics: tax arrangements with the taxing authorities regarding employee benefits; employee benefits solutions adapted to Israeli and multinational companies; ongoing support, planning and preparation of employee compensation plans, including for technology companies; taxation of shares and stock options in accordance with tax laws and accounting principles in various legal methods, focusing on the US and Europe.
