A big congratulations goes out to our clients Golf & Co Group Ltd. (TASE: GOLF) and Adika Style Ltd. (TASE: ADIKA) on the signing of a definitive merger agreement pursuant to which Golf will acquire all of the share capital of Adika through a reverse triangular merger. The transaction is expected to close in the fourth quarter of 2022.

Herzog represented Golf in negotiations with the independent committee established by Adika’s board of directors and advised Golf in all legal aspects of this complex transaction of a public company (Adika) being acquired by its controlling shareholder (Golf).

The Herzog team was led by partners Nir Dash and Efrat Tzur, along with associates Ofek Galipoliti and Noa Rassabi. Intern Netta Tauber was part of the Herzog team as well.
