On the 9th of November 2017, the Corporate and Securities Authority (“The Authority”) published a version on the proposed amendment to the Securities Regulations for public comment (cases in which publication of a Shelf Offering Report will require a permit from the Securities Authority), 5766 – 2016 (“the Amendment Proposal”). Until now, the Authority’s permit for a shelf offering report was required in the following cases (with certain exceptions): a first-time offering of a reporting corporation whose liability certificates are listed for trading; offering securities in the framework of an exchange tender offer; offering of liability certificates backed by collateral; a complex or innovative offering of securities, in terms of the manner of offering and its terms or the type of security offered; offering of basket certificates.
