Ben Kanter is a leading individual and highly experienced partner in the firm’s Banking and Finance Department. Ben originally joined Herzog from Freshfields Bruckhaus Deringer, London, having spent six years in the London head office.
Ben specialises in banking and finance, restructuring and M&A work across various practice sectors, and regularly represents leading global banks, financial institutions, private equity and alternative capital funds, large international and domestic corporations, as well as high-net-worth individuals across a wide range of industry leading transactions.
Ben also specialises in the field of aviation financing, transfers and registrations in Israel acting principally for foreign purchasers, lessors and lenders.
Ben is repeatedly recognised as one of Israel’s market leaders in the finance sector.
Ben’s recent transactions include:
- Advising Bank Leumi on its landmark transactions with the European Investment Bank, including: (i) a EUR500,000,000 green loan facility and (ii) a EUR250,000,0000 loan promoting economic development in disadvantaged communities in Israel (including and Arab Israeli communities) and promoting women’s rights initiatives too.
- Advising Fox Wizel Ltd in connection with its OEKB-backed EUR130,000,000 export credit financing granted by HSBC Bank plc for the purposes of a establishing a new logistics facility.
- Advising Goldman Sachs and The Phoenix Insurance company on the acquisition financing provided to TA Associates for the c. ILS 900,000,000 purchase of Priority Software.
- Advising Healthcare Royalty on its US$250 million non-dilutive financing to OPKO Health Inc. (NASDAQ: OPK) including the isolation of the NGENLA™ product line from OPKO’s broader operations.
- Advising 888 in respect of its c. GBP1,700,000,000 acquisition financing loan and bond package for the purpose of purchasing the international (non-US) business of William Hill.
- Advising Orion Infrastructure Capital (“OIC”) in connection with its first debt investment in Israel, a strategic refinancing transaction with Gauzy Ltd, a market leader in smart glass technologies (NASDAQ: GAUZ).
- Advising Carlyle Credit and Owl Rock Capital on their multi-level term acquisition and revolving credit financing granted to Turn/River Capital in connection with the acquisition and take-private of Tufin Technologies, an Israeli company in an amount in excess of US$200,000,000.
- Advising Silver Point Finance in connection with a US$295 million term and revolving credit facility.
- Advising ilottery platform provider NeoGames on the US$210,000,000 financing from Blackstone in respect of its public tender offer for Aspire Global for approx. USD 480 million.
- Advising Francisco Partners on the c. US$55,000,000 million secured term lending provided by funds managed by FP to Satixfy Israel – an Israeli satellite communication technology company.
- Advising Citibank, Goldman Sachs, Deutsche Bank and other leading global banks on various high value margin loans to large Israeli public listed and private companies.
- Advising HSBC Bank plc on its US$250,000,000 financing of Coca Cola Israel for the joint purchase of Clover Industries, a South African public listed company.
- Advising Cerberus and JPMorgan on the US$153,000,000 refinancing of ECI Telecom Ltd’s indebtedness.
- Advising various local financial institutions on multiple secondary debt transactions in connection with financings centred in the US, Europe, Singapore, South America, Hong Kong and Australia.
- Advising JPM, BNP Paribas, UK Export Finance, Citibank and others on numerous financings each for the purchase of new Boeing Dreamliner aircraft leased to El Al by way of finance lease (and each in excess of US$100,000,000).
